Shop Terms and Conditions
Article 1 Definitions
Account:
The Customer’s personal environment, accessible via the Website by entering the Login Details;
Yellow B. Cycling B.V.:
The private limited liability company Yellow B. Cycling B.V., having its registered office and principal place of business at Het Zuiderkruis 23, 5215 MV ’s-Hertogenbosch, the Netherlands, registered with the Dutch Chamber of Commerce under number 30117187;
General Conditions:
These terms and conditions of Yellow B. Cycling B.V.;
Login Details:
The username and password selected by the Customer which provide access to the Account;
Intellectual Property Rights:
All intellectual property rights and related rights, including copyrights, trademark rights, design rights, patent rights, trade name rights, database rights and neighbouring rights, as well as know-how;
Customer:
The natural person who uses the Website of Yellow B. Cycling B.V. and has purchased or wishes to purchase a Product via the Website;
Agreement:
The agreement between the Customer and Yellow B. Cycling B.V. concluded via the Website, under which the Customer purchases a Product from Yellow B. Cycling B.V.;
Product:
The products offered for sale by Yellow B. Cycling B.V. via the Website, including cycling clothing and bags, outdoor clothing and accessories;
Original Shipping Costs:
The amount shown as shipping costs for the relevant order during checkout and in the order confirmation, after application of any discounts on the shipping costs;
Non-EU Shipment:
An order for which the delivery address provided by the Customer is located outside the EU zone;
Website:
The websites www.teamvismaleaseabike.nl and www.teamvismaleaseabike.com, including the webshop, checkout, account environment and all underlying webpages offered thereon.
Article 2 Applicability
1. In order to order Products on the Website, the Customer may create an Account on the Website. An Account can be created by completing the registration process on the Website. It is not permitted to create an Account in the name of another person or on behalf of another person.
2. During the registration process, the Customer will be asked to provide certain information. The Customer warrants to Yellow B. Cycling B.V. and is responsible for ensuring that the information provided when creating the Account is correct, complete and up to date. If the Customer’s details are no longer current, complete or correct for any reason, the Customer must update those details without delay.
3. During registration, the Customer must also provide Login Details which can be used to access the Account. The Customer is responsible for keeping the Login Details confidential. The Customer may not provide the Login Details to third parties or otherwise allow third parties to access the Account. The Customer is responsible and liable for all use made through the Login Details of the Account.
4. As soon as the Customer knows or has reason to suspect that the Login Details have come into the possession of unauthorised persons, the Customer must inform Yellow B. Cycling B.V. without delay, without prejudice to the Customer’s own obligation to immediately take effective measures, such as changing the Login Details.
5. Yellow B. Cycling B.V. reserves the right to change the login procedure and/or the Customer’s Login Details if it considers this necessary in the interests of the functioning of the Website or the security of the Account.
6. The Customer has the right to terminate the Account at any time. If the Customer does not act in accordance with these Terms and Conditions, Yellow B. Cycling B.V. is entitled to terminate the Account with immediate effect without being liable to pay any compensation to the Customer. Termination of the Account does not affect Agreements already concluded.
Article 4 Offer and conclusion of Agreement
1. The Agreement is concluded by fully completing the ordering process on the Website, including acceptance of these Terms and Conditions.
2. Yellow B. Cycling B.V. is not bound by obvious errors or mistakes in an offer on the Website. The Customer acknowledges that the delivered Product may differ to a limited extent from the information provided on the Website, including images.
3. Yellow B. Cycling B.V. reserves the right to modify or remove a Product from its Website at any time, without Yellow B. Cycling B.V. being liable as a result.
4. The Customer warrants to Yellow B. Cycling B.V. that the information provided during the ordering process is correct, complete and up to date. The Customer acknowledges and understands that the accuracy, currency and completeness of the information provided are of great importance to Yellow B. Cycling B.V., including for the purpose of delivering the Products ordered.
Article 5 Price and payment
1. All prices are stated in euros, dollars, pounds sterling or Danish kroner and include value added tax (VAT). The Website only states any additional costs, such as shipping and payment costs.
For deliveries outside the European Union, the Customer is responsible for paying any import duties, customs charges, taxes, customs clearance charges, brokerage fees and other additional costs imposed by the destination country, customs authorities or carrier. These costs are not included in the stated prices and are entirely for the Customer’s account. During checkout, the Customer is informed that such additional costs may apply to Non-EU orders.
For Non-EU Shipments that are refused, not collected or returned to Yellow B. Cycling B.V. for another reason attributable to the Customer, Article 6 paragraph 6 applies.
2. The stated price of the Product is valid at the time it is displayed on the Website. Yellow B. Cycling B.V. reserves the right to increase or decrease the prices of Products at any time. Any price changes will not affect orders already placed and confirmed by Yellow B. Cycling B.V.
3. The Customer may pay the amount due using the payment methods indicated on the Website. If the Customer has not selected a method of advance payment, payment must be made within 14 days of the invoice date, unless otherwise stated on the invoice.
4. If the Customer fails to pay the amount due within the applicable period, the Customer will automatically be in default without any notice of default being required. From that moment, the Customer will also owe statutory interest on the outstanding amount until payment has been made in full.
5. If the Customer remains in default of payment after a reminder or demand from Yellow B. Cycling B.V., Yellow B. Cycling B.V. reserves the right to refer the claim for collection. In that case, all costs incurred by Yellow B. Cycling B.V., including legal costs and judicial and extrajudicial costs, including but not limited to the costs of legal assistance, bailiffs and collection agencies incurred in connection with late payments, will be borne by the Customer.
Article 6 Delivery
1. Delivery times stated on the Website and/or during the ordering process are indicative and do not constitute strict deadlines.
2. Yellow B. Cycling B.V. will deliver the Products ordered by the Customer to the delivery address provided by the Customer. If the Customer orders multiple Products, Yellow B. Cycling B.V. is entitled to deliver the order in separate shipments.
3. If performance by Yellow B. Cycling B.V. is permanently or temporarily impossible, Yellow B. Cycling B.V. will inform the Customer as soon as possible. Yellow B. Cycling B.V. will either offer the Customer an alternative Product or give the Customer the option to terminate the Agreement. If the Agreement is terminated, Yellow B. Cycling B.V. will refund the amount already paid by the Customer corresponding to the undelivered Products within 30 days.
4. All Products delivered by Yellow B. Cycling B.V. remain the property of Yellow B. Cycling B.V. or its suppliers until the Customer has paid the full amount due, including any interest and collection costs owed.
5. Yellow B. Cycling B.V. points out that the Product must conform to the Agreement. If a delivered Product does not conform to the Agreement, Yellow B. Cycling B.V. will replace the Product free of charge and within a reasonable period after the Customer has informed Yellow B. Cycling B.V. of the non-conformity.
6. If a shipment with a delivery address outside the European Union is refused by the Customer or recipient, is not collected within the applicable period, is returned due to non-payment of applicable import, customs, clearance or brokerage charges, or cannot be delivered for another reason attributable to the Customer and is returned to Yellow B. Cycling B.V., Yellow B. Cycling B.V. is entitled to deduct a fixed Shipping and Return Contribution from the amount to be refunded.
This contribution amounts to twice the shipping costs charged for the relevant order and consists of:
a. one times the original shipping costs, which will not be refunded; and
b. an amount equal to the original shipping costs as a fixed contribution towards return transport and the associated handling costs.
The contribution is a fixed, capped, all-inclusive contribution. No additional return transport, customs, clearance, brokerage, storage, handling or administrative costs will be charged for the same shipment, even if the actual costs incurred are higher.
The contribution will be applied no more than once per order, will never exceed the amount that would otherwise be refunded and will not result in any additional payment obligation. If no shipping costs were charged for the order, the contribution will be zero.
This arrangement does not apply if the return shipment is the result of an error by Yellow B. Cycling B.V., its fulfilment provider or the carrier, an incorrect or damaged Product, incorrect shipping or customs documentation, or if applicable mandatory law does not permit the deduction.
If the Customer validly and unequivocally exercised a right of withdrawal before refusing or failing to collect the shipment, the refund will be processed in accordance with Article 7.
Merely refusing or failing to collect a shipment does not constitute a notice of withdrawal unless the Customer separately notifies Yellow B. Cycling B.V. accordingly.
Article 7 Withdrawal
1. The Customer has the right to withdraw from the Agreement without giving reasons for a period of 14 days after receipt of the Product, unless one of the exceptions set out in Article 6:230p of the Dutch Civil Code applies. If the right of withdrawal applies, the Customer may exercise this right by completing the model withdrawal form made available by Yellow B. Cycling B.V. on its Website and returning this form together with the delivered Products that the Customer does not wish to keep to Yellow B. Cycling B.V.
2. In the event of withdrawal pursuant to Article 7 paragraph 1, the Customer is obliged to return the delivered Product that the Customer does not wish to keep as soon as possible, but no later than 14 days after the notice of withdrawal. The costs of the return shipment are borne by the Customer.
For a regular return shipment from a country outside the European Union, the Customer is also responsible for any import duties, customs charges, clearance charges, brokerage fees and other costs charged by customs authorities or the carrier directly in connection with that return shipment. If such costs are charged to Yellow B. Cycling B.V., Yellow B. Cycling B.V. is entitled to deduct these costs from the amount to be refunded.
For a Non-EU Shipment that is refused by the Customer or recipient, is not collected or is returned to Yellow B. Cycling B.V. for another reason attributable to the Customer, the fixed Shipping and Return Contribution as set out in Article 6 paragraph 6 will apply exclusively, notwithstanding the above.
3. In the event of withdrawal pursuant to Article 7 paragraph 1, Yellow B. Cycling B.V. will refund the amount already paid by the Customer under the Agreement within 14 days after receipt of the notice of withdrawal. Yellow B. Cycling B.V. is entitled to deduct any reduction in the value of the Product from the amount to be refunded insofar as that reduction in value is the result of use by the Customer beyond what is necessary to establish the nature, characteristics and functioning of the Product.
4. If the Customer selected a shipping method other than the standard shipping method, Yellow B. Cycling B.V. will only refund the costs of standard shipping.
5. The Customer acknowledges and accepts that, pursuant to Article 6:230p of the Dutch Civil Code, there is no right of withdrawal in respect of the supply of Products which are not suitable for return due to reasons of health protection or hygiene and where the seal has been broken after delivery.
6. The right of withdrawal does not apply to personalised products. This concerns products that have been specifically made to measure for the Customer or provided with a personal addition, such as a name or race number. Personalised products therefore cannot be returned or exchanged unless there is a manufacturing defect or the product was damaged upon receipt.
Article 8 Privacy
1. When visiting the Website, placing an order and providing Login Details, personal and other data are provided to Yellow B. Cycling B.V. These personal and other data will be processed in accordance with the privacy statement of Yellow B. Cycling B.V. and applicable laws and regulations.
Article 9 Conformity
1. If a Product does not conform to the Agreement, Yellow B. Cycling B.V. will, free of charge and within a reasonable period, at the discretion of Yellow B. Cycling B.V., repair the Product or, if a Product or parts thereof are missing, supply the missing Product or parts. If repair is not possible or cannot reasonably be required of Yellow B. Cycling B.V., Yellow B. Cycling B.V. will replace the Product.
2. If Yellow B. Cycling B.V. has not repaired the Product within a reasonable period, the Customer is entitled to have the repair carried out by another party. Yellow B. Cycling B.V. will reimburse the reasonable costs incurred by that third party in connection with the repair.
3. The Customer may not claim that the Product does not conform to the Agreement if the Customer was already aware, or could reasonably have been aware, of the defect when entering into the Agreement, or if the nature of the Product purchased or the nature of the defect precludes such a claim.
4. A condition for any entitlement to compensation is that the Customer reports the damage to Yellow B. Cycling B.V. in writing, including by email, as soon as possible after the damage occurs. Any claim for damages against Yellow B. Cycling B.V. will lapse by the mere passage of twelve (12) months after the claim arose.
Article 10 Miscellaneous
1. Yellow B. Cycling B.V. may transfer the Agreement and/or the rights and obligations arising from the Agreement to third parties, or engage third parties to perform its rights and/or obligations under the Agreement. Yellow B. Cycling B.V. will inform the Customer in good time of any transfer of the Agreement to a third party. If the Customer does not accept the transfer to a third party, the Customer may terminate the Agreement.
2. The Customer may not transfer the rights and obligations arising from the Agreement to third parties.
3. The use of the Website, these Terms and Conditions and/or the Agreement are governed exclusively by Dutch law.
4. Unless mandatory national or international rules provide otherwise, all disputes arising from or relating to the Website, these Terms and Conditions and/or the Agreement will be submitted exclusively to the competent court in Amsterdam, unless the Customer indicates, within one month after Yellow B. Cycling B.V. has invoked this provision in writing, that the Customer wishes the dispute to be decided by the court competent under applicable law.
